Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of ProjectPro (the "Service"), provided by C-Carpenter Ltd ("we", "us", "our"). By creating an account or otherwise using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the Service. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

3. Account Registration & Security

• You must provide accurate, current and complete information.
• You are responsible for keeping your password and credentials confidential.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at info@c-carpenter.org of any unauthorized access.

4. Plans, Pricing & Billing

We offer Free and paid subscription tiers (Simple / Standard / Pro). Subscription pricing, features and quotas are described inside the app and on the public pricing page. We reserve the right to change pricing with at least 30 days' notice for active subscribers (your current billing period remains at the price you signed up for).

• All prices are shown in the currency listed on the checkout page and are inclusive or exclusive of VAT/sales tax as indicated.
• Subscriptions renew automatically each billing cycle unless cancelled.
• You can cancel at any time from the Subscription page. Cancellation takes effect at the end of the current billing period.
• Payments may be processed by Stripe, Lemon Squeezy (acting as Merchant of Record), or PayPal.
• Lifetime/complimentary accounts granted by C-Carpenter Ltd are non-transferable and may be revoked for abuse.

6. License to use the Service

Subject to these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business purposes.

7. Your Content

You retain ownership of all data, quotes, templates, logos, client information and other content you upload to the Service ("Your Content"). You grant us a worldwide, royalty-free license to store, process and display Your Content solely to operate and improve the Service for you.

You are solely responsible for the legality of Your Content and for obtaining the consents necessary to upload information about your clients.

8. Prohibited Use

You must comply with our Acceptable Use Policy. In short: no illegal activity, no malware, no spam, no scraping the Service, no attempts to bypass quotas, no reselling without permission.

9. Intellectual Property

The Service, including all software, design, text, graphics, the ProjectPro name and logo, are the property of C-Carpenter Ltd and protected by international copyright, trademark and other intellectual-property laws. No rights are granted to you other than those expressly stated in these Terms.

10. Third-party Services

The Service integrates with third-party providers (e.g. Stripe, Lemon Squeezy, Google OAuth, hardware-store product feeds). We are not responsible for third-party services or for any data they provide.

11. Suspension & Termination

We may suspend or terminate your account at any time, with or without cause, by giving you written notice (immediately for serious violations of these Terms). On termination, your access ends; your data is retained for 30 days during which you may request export, after which it is permanently deleted.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT ALL DATA WILL BE PRESERVED. THIS DOES NOT LIMIT YOUR STATUTORY RIGHTS THAT CANNOT BE WAIVED.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall C-Carpenter Ltd, its directors, officers, employees, affiliates, agents or licensors be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or business opportunities, arising out of or in connection with your use of the Service. Our total aggregate liability for any claims relating to the Service shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow these limitations, in which case they apply only to the maximum extent permitted.

14. Indemnification

You agree to indemnify and hold C-Carpenter Ltd harmless against any claims, damages, losses, liabilities and reasonable legal fees arising from (i) Your Content, (ii) your breach of these Terms, or (iii) your violation of any law or third-party right.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of United Kingdom, without regard to its conflict-of-laws principles. The courts of United Kingdom shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that consumers may bring claims in the courts of their place of residence where local law requires.

16. Changes to these Terms

We may modify these Terms from time to time. Material changes will be notified at least 14 days in advance by email or in-app banner. Continued use of the Service after changes take effect constitutes acceptance.

17. Miscellaneous

• Entire agreement: These Terms (plus the Privacy Policy, Refund Policy and AUP) are the entire agreement between you and us.
• Severability: If any provision is held invalid, the rest of the Terms remain in effect.
• No waiver: failure to enforce any provision does not waive our right to do so later.
• Assignment: You may not assign these Terms without our written consent.
• Force majeure: We are not liable for delays caused by events beyond our reasonable control.
